MH Gaming LLC ("MHG") owns and operates three amusement arcades in the State of Florida. MHG acquired these arcades on December 30, 2010. The trade name and location for each of the arcades is: Starlight Palace I, Starlight Palace II and The Pyramid, located in Melbourne, Sebastian and Vero Beach, Florida, respectively. These establishments, sometimes referred to as "Senior Arcades", are places where members of Florida's vast senior citizen population, year-round residents as well as transient vacationers, spend time playing skill-based arcade games, socializing, and enjoying complimentary meals and snacks in a clean, safe and comfortable environment. In Florida, an arcade amusement center is a gaming entertainment establishment whereby bill, coin and electronic debit card enabled skill-based games are played in an "award-for-prize" format (i.e., excluding cash and alcoholic beverages). As of December 31, 2010, MHG had 27 employees.
